1. The Service

VixitAi is a cloud-based hospital & clinic management software (HMS) provided on a subscription basis. It includes modules such as patient records, appointments, smart queue, billing, pharmacy, lab, radiology and a patient portal, offered to clinics, hospitals and healthcare practitioners (“Customers”).

2. Eligibility & accounts

You must be at least 18 years old and authorised to enter into these Terms on behalf of your clinic or business. You are responsible for keeping your login credentials confidential and for all activity under your account.

3. Subscriptions, billing & auto-pay

The Service is billed on a recurring monthly or annual basis according to the plan you select. By subscribing with a recurring payment method (UPI AutoPay, card mandate or other supported method) you authorise us, through our payment partner, to automatically charge the applicable fees each billing cycle until you cancel.

• Fees are exclusive of applicable taxes (e.g. GST), which will be added where required.
• Subscriptions renew automatically unless cancelled before the renewal date.
• We may revise pricing with prior notice; changes apply from your next billing cycle.
• Cancellation and refunds are governed by our Refund & Cancellation Policy.

4. Acceptable use

You agree not to misuse the Service, including: attempting to gain unauthorised access, reverse-engineering the platform, uploading unlawful or infringing content, or using the Service in violation of applicable laws or patient-data regulations.

5. Customer & patient data

You retain ownership of the data you enter. For patient health records, the Customer is the data controller and VixitAi acts as a data processor handling such data on your behalf and on your instructions, in line with our Privacy Policy. You are responsible for obtaining any consents required from your patients.

6. Intellectual property

The VixitAi software, design, trademarks and content are owned by VixitAi Labs and protected by law. We grant you a limited, non-exclusive, non-transferable right to use the Service during your active subscription.

7. Third-party services

The Service relies on third parties (e.g. payment gateways, cloud hosting, messaging providers). Your use of those features may be subject to their terms, and we are not liable for their acts or omissions.

8. Disclaimers

The Service is provided on an “as is” and “as available” basis. VixitAi is administrative software and does not provide medical advice, diagnosis or treatment. Clinical decisions remain solely the responsibility of the treating practitioner.

9. Limitation of liability

To the maximum extent permitted by law, VixitAi Labs shall not be liable for any indirect, incidental or consequential damages. Our total aggregate liability for any claim shall not exceed the subscription fees you paid to us in the three (3) months preceding the event giving rise to the claim.

10. Suspension & termination

We may suspend or terminate access for non-payment, breach of these Terms, or where required by law. You may stop using the Service and cancel at any time as described in the Refund & Cancellation Policy.

11. Changes to these Terms

We may update these Terms from time to time. Material changes will be notified via the Service or email, and continued use after changes means you accept the revised Terms.

12. Governing law & jurisdiction

These Terms are governed by the laws of India. The courts at Ranchi, Jharkhand shall have exclusive jurisdiction over any disputes.
